Uniserve Communications Corporation (TSXV: USS), a Canadian provider of managed IT, ISP, cloud, and data centre services, provided an update on its business acquisition report (BAR) related to its acquisition of Megawire Inc. The BAR is required under National Instrument 51-102 – Continuous Disclosure Obligations within a 75-day period, but the Company will not meet this deadline.
According to the Company's news release, the delay stems from the need to prepare audited financial statements for inclusion in the BAR. Megawire, along with other companies involved in the transaction—Brimax Financial Services Inc. and Waterloo Wireless Inc.—are private companies and have not previously prepared or filed audited financial statements. Uniserve stated it is working diligently with its selected auditor to complete the required financial statements and audit.
Uniserve expects to make the required filings by no later than June 30, 2026. The Company has imposed a management trading blackout pending the filing. Uniserve confirmed it is current in its other continuous disclosure filings and will provide updates as required by securities laws.
