The company announced that it has executed definitive agreements with the U.S. Department of War for a previously announced strategic equity investment of approximately $35.6 million. This investment is aimed at advancing exploration and development of the Upper Kobuk Mineral Projects (UKMP) in northwestern Alaska.

Under the terms of the agreements, the Department will invest approximately $17.8 million directly in Trilogy Metals and another approximately $17.8 million through a transaction with joint venture partner South32 Limited (ASX, LSE, JSE: S32; ADR: SOUHY). The proceeds are committed to the projects, and upon completion, the Department is expected to hold approximately 10% of Trilogy Metals on a non-diluted basis. The transaction is anticipated to close in September 2026, subject to customary closing conditions.

This investment underscores the strategic importance of the UKMP, which is located in the Ambler Mining District, one of the world's richest and most prospective copper-dominant districts. The district hosts polymetallic volcanogenic massive sulfide (VMS) deposits containing copper, zinc, lead, gold, and silver, as well as carbonate replacement deposits with high-grade copper and cobalt mineralization. Trilogy Metals, through its 50% interest in Ambler Metals LLC, holds a 100% interest in the UKMP. South32, a globally diversified mining and metals company, holds the other 50% of Ambler Metals.

The investment comes at a time when the U.S. government is increasingly focused on securing domestic supplies of critical minerals like copper, which are essential for national security, infrastructure, and the transition to clean energy. By backing this project, the Department of War is signaling the importance of developing domestic sources of copper to reduce reliance on foreign imports.
