This strategic move expands Redwood's technology base to include capabilities focused on cryptographic visibility, quantum-readiness assessment, and security infrastructure planning.

Quantum.IQ's Post-Quantum Cryptography (PQC) platform is designed to help organizations evaluate and prepare their encryption systems for the potential threats posed by quantum-enabled cyber attacks. The platform supports cryptographic asset discovery, creation of Cryptographic Bill of Materials, alignment with standards, vulnerability management, migration planning, continuous monitoring, and executive-level reporting. The acquisition consideration includes the issuance of up to 14,033,558 common shares at a deemed price of $2.98 per share. Additionally, Redwood issued 50,000 shares as an administrative fee and 100,000 shares as a finder's fee.
