REalloys Announces Proposed Public Offering of Common Stock

REalloys Inc. (NASDAQ: ALOY), a U.S.-based mine-to-magnet rare earth company, announced today its intention to offer and sell shares of its common stock in an underwritten public offering. The company also plans to grant underwriters a 30-day option to purchase additional shares. All shares in the offering are to be sold by REalloys. The offering is subject to market conditions, and there is no assurance regarding its completion, size, or terms.

Clear Street is acting as lead book-running manager, with Needham & Company serving as joint book-running manager. The company expects to use the net proceeds for working capital and general corporate purposes. These refined materials feed into its downstream manufacturing operations in Euclid, Ohio, where the company produces advanced heavy rare earth metals, alloys, and magnet components for defense, clean-energy, and high-performance industrial applications. The Ohio facility serves federal logistics and procurement agencies supporting the Department of Defense, the Department of Energy, and NASA, as well as the broader Defense Industrial Base.
