Nocera Acquires 30% Stake in Taiwan Memory Distributor QMAX to Bolster AI Infrastructure

Nocera, Inc. (NASDAQ: NCRA) announced it has acquired a 30% controlling interest in Taiwan-based QMAX Technology Co. Ltd. through a variable interest entity structure, issuing 300,000 restricted shares valued at approximately $408,000. QMAX is an authorized distribution channel for Micron/Crucial memory products, providing Nocera with established vendor authorizations, procurement capabilities and distribution relationships for DRAM modules, server memory and solid-state storage. The transaction supports Nocera's transformation into Nocera Holdings, a diversified technology-focused holding company targeting opportunities across artificial intelligence, AI infrastructure, data centers, robotics, biotech, blockchain and digital assets.

Management said the acquisition strengthens Nocera's AI data center strategy by securing access to critical memory and storage components amid tightening global supply driven by AI demand. QMAX generated approximately $1.36 million in fiscal 2025 revenue and provides an operating procurement and distribution platform serving customers across Taiwan's technology sector. Nocera said it intends to leverage the business to support both its own planned AI data centers and third-party customers while continuing to pursue additional acquisitions and strategic partnerships aligned with its long-term AI infrastructure strategy.

The move comes as global demand for high-bandwidth memory and server-grade storage surges, driven by the expansion of AI training and inference workloads. By integrating QMAX's distribution network, Nocera gains a direct pipeline to essential components, mitigating supply chain risks. The company's broader strategy involves building a portfolio of scalable businesses across emerging technology sectors, including opportunities related to tokenization, blockchain infrastructure and digital asset strategies.
