NANO-X IMAGING LTD (NASDAQ: NNOX), a company focused on transforming preventive healthcare through advanced medical imaging and AI, has announced a securities purchase agreement for a registered direct offering. The deal is expected to generate approximately $8 million in gross proceeds before fees and expenses. The financing involves the sale of 8 million ordinary shares, or prefunded warrants in lieu thereof, along with warrants to purchase up to an additional 8 million ordinary shares. The combined purchase price is set at $1.00 per share and accompanying warrant. The warrants carry an exercise price of $1.15, become exercisable six months after issuance, and expire five years after closing.

The offering is anticipated to close on or about August 7, 2026, subject to customary closing conditions. Nanox plans to use the net proceeds for working capital and general corporate purposes.
