MAX Power Mining Divests Arizona Lithium Asset to Focus on Natural Hydrogen

MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) has announced an agreement to sell its wholly owned subsidiary, MAX Power Resources LLC, which holds the Willcox Playa Lithium Project in Arizona. The buyer is Homeland Critical Minerals Corp., and MAX Power will receive 11 million Homeland shares valued at approximately $1.1 million. This divestiture aligns with MAX Power’s strategy to concentrate its resources on advancing its Natural Hydrogen initiatives, particularly the Lawson Natural Hydrogen Complex and the broader Genesis Trend in Saskatchewan.

The transaction allows MAX Power to sharpen its focus on Natural Hydrogen exploration while retaining significant exposure to the future development of the Willcox Project through an equity stake representing just under 50% of Homeland’s currently outstanding shares. The company stated that the divestiture enables management to allocate capital, technical expertise, and execution efforts toward its Natural Hydrogen assets, while preserving potential upside from lithium and other critical mineral opportunities that Homeland will pursue.

The Willcox Playa Lithium Project in southeast Arizona was 100% owned by MAX Power’s U.S. subsidiary and included a 2024 diamond drilling discovery. The project is now set to be advanced by Homeland, which will benefit from MAX Power’s past work. The transaction is expected to close on or about June 17, 2026, subject to customary conditions and regulatory approvals, including any required approval from the Canadian Securities Exchange.

MAX Power’s Lawson Discovery near Central Butte, Saskatchewan, represents Canada’s first-ever subsurface Natural Hydrogen system confirmed through deep drilling, with data validated by three independent labs. The company has built dominant district-scale land positions across Saskatchewan with approximately 1.3 million acres (521,000 hectares) of permits covering prime exploration ground prospective for large-volume accumulations of Natural Hydrogen. MAX Power also holds a portfolio of properties in the United States and Canada focused on critical minerals, but the Arizona divestiture marks a clear pivot toward Natural Hydrogen as the primary focus.
