MAX Power Mining Closes C$20.5 Million Private Placement Led by Eric Sprott to Advance Natural Hydrogen Discovery

MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) has closed its previously announced private placement, raising approximately C$20.5 million in gross proceeds. The financing, led by renowned investor Eric Sprott, involved the sale of 15,805,624 units at C$1.30 per unit, with Hampton Securities Limited acting as lead agent and sole bookrunner. The company stated that the funds will be used to advance the evaluation and development of its Lawson Natural Hydrogen discovery in Saskatchewan, including analytical testing, resource modeling, seismic acquisition, and additional drilling, as well as for general corporate purposes.

The Lawson discovery, located near Central Butte, Saskatchewan, represents Canada's first-ever subsurface natural hydrogen system confirmed through deep drilling, with data validated by three independent laboratories. MAX Power has built a dominant district-scale land position in Saskatchewan, holding approximately 1.3 million acres (521,000 hectares) of permits, with an additional 5.7 million acres under application. This extensive land package covers prime exploration ground prospective for large-volume accumulations of natural hydrogen, a clean energy source that could play a critical role in the transition to decarbonization.

The participation of Eric Sprott, a prominent figure in the mining and resource sector, underscores the potential of MAX Power's natural hydrogen play. The proceeds from the placement will enable the company to accelerate its exploration program, aiming to delineate the scale and commercial viability of the discovery. The company also holds a portfolio of critical mineral properties in the United States and Canada, including the 100%-owned Willcox Playa Lithium Project in southeast Arizona, where a diamond drilling discovery was made in 2024.

MAX Power is committed to responsible exploration practices, emphasizing environmental stewardship, community engagement, and strong corporate governance. The successful closing of this financing, with strong support from institutional and accredited investors, positions the company to advance what management believes is a scalable natural hydrogen opportunity.
