Ideal Group of Companies, Inc. (OTC: IDGR) has acquired Hospitality Development Group (HDG) in an all-stock transaction, a move that positions IDGR for significant growth and enhanced shareholder value. The acquisition encompasses a diversified portfolio of assets including premium real estate developments, precious metals mining rights, and innovative technology platforms, designed to provide financial leverage to support IDGR's expanding operations, including its Oxygen Mortgage subsidiary.
Hospitality Development Group, based in Ft. Lauderdale, Florida, is a real estate development company experienced in hotels, resorts, and residential developments. The principals of HDG were founding members of high-profile projects such as the oceanfront W Fort Lauderdale Resort and Residences, The Infinity at Brickell in Miami, and The Europa by the Sea. HDG also provides advisory and consulting services for real estate development projects and assists in procuring commercial debt and equity financing.
The transaction includes two strategically positioned real estate projects. The Palazzo del Lago Resort in Orlando, Florida, is a world-class mixed-use resort featuring 1,552 luxury rooms and suites in Phase I, with 800 resort villas in later phases. Designed in Italian Renaissance style, it will be one of Orlando's few lakefront resorts with water sports, a health spa, multiple restaurants, and conference facilities. The project has an agreement with Orange County to be designated as an Orange County Convention Center Hotel. More information is available at www.palazzodellago.com.
The Arden Mills Development in Fitchburg, Massachusetts, is a 7-acre parcel along the Nashua River, previously permitted for 156 rental units. The project will capitalize on multi-family demand, with engineers and city personnel cooperating for a fast re-permitting process.
Expanding into precious metals, the acquisition includes gold mining and other mineral rights concessions in Bolivia. This strategic asset provides direct exposure to gold, with prices rising and global demand increasing, representing both immediate value and long-term growth potential.
The transaction strengthens IDGR's technology capabilities through three platforms: Virtual HealthMD, a telehealth platform providing 24/7 physician access; Virtual PetMD, a telehealth platform for veterinary access; and Virtual365.app, a decentralized platform for hosting and monetizing immersive virtual events powered by Web3 technology.
Charles Cardona, CEO of Ideal Group of Companies, stated: "This is truly a watershed moment for IDGR and our shareholders. The acquisition of this exceptional portfolio of assets represents a quantum leap forward in our strategic evolution. We are not simply acquiring properties and businesses – we are acquiring financial leverage, market positioning, and growth engines across multiple high-value sectors." Jerrold R. Krystoff, Chairman and CEO of Hospitality Development Group, commented: "We are thrilled to complete this transaction with IDGR. We believe IDGR's vision for leveraging these assets to drive growth and create value represents a win-win opportunity for both organizations."
