Greenland Mines (NASDAQ: GRML) is accelerating its transition into a focused rare earths and critical minerals company with a series of strategic milestones, including a planned spin-off of its biotechnology division in the fourth quarter of 2026. The company also announced that Nasdaq has formally approved its application related to the March 2026 transaction, resolving prior deficiencies and bringing Greenland Mines into full compliance with listing requirements.
The company completed its acquisition of the Sarfartoq project on Sept. 1, following approval by the Government of Greenland. An independent S-K 1300 Initial Assessment for the ST1 deposit estimated a high-case pre-tax net present value of approximately $2.05 billion and a pre-tax internal rate of return of 118.6%. The company said that planned annual neodymium-praseodymium (NdPr) oxide production from ST1 would equal approximately 34% of current NdPr oxide refining outside China, based on 2025 consumption levels, during each of the project's nine scheduled operating years.
This strategic move underscores the growing importance of rare earth elements, particularly NdPr, which are critical for permanent magnets used in electric vehicles, wind turbines, and other clean energy technologies. By positioning itself as a significant non-Chinese supplier of these materials, Greenland Mines aims to capitalize on the global push to diversify supply chains and secure domestic sources of critical minerals.
In conjunction with these operational advancements, Greenland Mines is reshaping its board to better align with its new strategic direction. Riad El-Dada and Dr. Shalom Hirschman are stepping down, and Jason Hawkins, a capital markets veteran, is joining the board. These changes are expected to bring additional expertise to the company as it advances the Sarfartoq project and its Skaergaard palladium-gold-platinum project.
The spin-off of the biotech division, which includes Klotho's KLTO-202 primary indication for ALS, will allow the mining division to focus solely on its core assets. This separation is intended to unlock value for shareholders by creating two distinct, focused entities. The mining division will concentrate on developing Sarfartoq and Skaergaard, while the biotech division will continue its research and development activities independently.
Greenland Mines' broader vision is to build a multi-asset platform with exposure to rare earth magnet materials, precious metals, and selected midstream processing opportunities. The company is also advancing its North Atlantic Critical Metals Corridor concept, which aims to link Greenland's resources with allied downstream jurisdictions and industrial infrastructure. This initiative is part of a larger effort to reduce dependence on China for critical minerals and strengthen supply chains among Western nations.
The completion of the Sarfartoq acquisition and the positive initial assessment are significant steps forward, but the company still faces challenges typical of mining projects, including permitting, financing, and construction risks.
