Edgewater Wireless Secures Strategic Investment from Silicon Catalyst Angels

Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing™ silicon solutions, announced today the closing of a private placement that includes a strategic investment from Silicon Catalyst Angels I, LLC ("SCA"). The investment marks a significant endorsement of Edgewater's technology and its path toward commercial deployment.

The private placement, which closed in two tranches, raised aggregate gross proceeds of $717,332.70 through the issuance of 11,955,545 units. Each unit consists of one common share and one warrant, exercisable at $0.09 per share for two years. The second tranche, which closed with SCA's participation, comprised 4,799,666 units at $0.06 per unit, generating $287,979.96. Edgewater's Chairman, Brian Imrie, also increased his stake with an additional $96,000 investment, demonstrating confidence in the company's trajectory.

SCA's involvement extends beyond capital. As an affiliate of Silicon Catalyst, a renowned semiconductor accelerator, SCA brings a wealth of expertise and industry connections. Edgewater was selected as a Silicon Catalyst Portfolio Company in November 2024, and since then, it has gained access to over 500 industry experts and several million dollars in in-kind design, fabrication, and commercialization resources. Nick Kepler, COO of Silicon Catalyst, serves as a Board Observer, providing strategic guidance.

The funds will be used to advance Edgewater's PrismIQ™ platform and its Spectrum Slicing™ roadmap, focusing on engineering development, prototype validation, and planned demonstrations for high-reliability Wi-Fi and emerging high-performance applications. The company anticipates an initial product release in the first half of 2027, underscoring its commitment to bringing its technology to market.

SCA, established in 2019, provides seed and Series A funding to Silicon Catalyst portfolio companies. Its members include seasoned semiconductor executives, technologists, and investors who offer not just capital but also strategic relationships relevant to silicon execution and future funding.

Edgewater's Spectrum Slicing™ technology is designed to address the growing congestion in Wi-Fi spectrum, particularly as the industry transitions to Wi-Fi 7 and beyond. By enabling multiple concurrent channels in a single band, the technology promises up to a 10x improvement in performance and up to 50% lower latency, even for legacy devices. With 26 granted patents and three AI-related patents pending, Edgewater is positioning itself as a leader in intelligent wireless connectivity.

The company plans to use the net proceeds for semiconductor design, engineering, and product development, as well as general working capital. The closing of the second tranche is subject to final acceptance by the TSX Venture Exchange, and the securities issued are subject to a statutory hold period until January 9, 2027.

Chairman Imrie's participation is considered a related-party transaction under MI 61-101, but the company expects to rely on exemptions from formal valuation and minority shareholder approval requirements, as the fair market value of his investment does not exceed 25% of the company's market capitalization.

Edgewater's progress has been bolstered by its relationship with Silicon Catalyst, which has unlocked access to a vast network of industry experts and resources. This strategic alignment is expected to accelerate the company's journey from engineering validation to commercialization.
