AtlasClear Holdings, Inc. (NYSE American: ATCH) has taken a significant step in its growth strategy by filing regulatory applications with the Federal Reserve Board and the Wyoming Division of Banking to acquire Commercial Bancorp, the bank holding company that owns Farmers State Bank. The applications, announced on April 13, 2026, follow a definitive Share Purchase Agreement (SPA) signed in February 2026, under which AtlasClear will acquire 100% of Commercial Bancorp's outstanding shares. Approximately 73% of the consideration will be in AtlasClear common stock, with the remainder in cash, subject to customary adjustments.

The acquisition is central to AtlasClear's plan to create a vertically integrated financial services platform. Upon closing, Commercial Bancorp and Farmers State Bank will become wholly owned subsidiaries, adding regulated deposit, payment, and lending capabilities to AtlasClear's existing clearing infrastructure operated through its subsidiary, Wilson-Davis & Co., Inc.
